Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Artifically platform, website, and services (together, the "Service").
Artifically is currently operated by Omar Abubaker, an individual doing business as Artifically, based in the United Arab Emirates. Formal entity registration is in progress; these Terms will be amended upon completion. Contact of record: legal@artifically.com.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1Acceptance of Terms
By creating an account, accessing, or using Artifically, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Artifically.
You represent that you have the legal capacity and authority to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree with any part of these Terms, you must stop using the Service.
2Description of Service
Artifically operates a marketplace of prebuilt AI automations ("Automations"). Unlike an open marketplace, Artifically operates a single-vendor model:
- Single vendor — every Automation on the platform is built, maintained, and sold by Artifically.
- Customer access — you may browse, evaluate, purchase, configure, and run Automations in your own operations.
- No third-party sales — you may not list, sell, or offer your own automations or products on the platform.
- You do not build workflows. You buy an Automation, connect the tools it needs, configure it, and it runs.
The Service may also include access to APIs, documentation, and support resources to help you deploy Automations alongside your existing systems.
3User Account Terms
3.1 Account creation
To use most of the Service you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date.
3.2 Account security
You are responsible for your account credentials and for activity under your account. You agree to:
- Use a strong, unique password.
- Enable multi-factor authentication where it is available.
- Tell us immediately about any unauthorised access or suspected breach.
- Not share your credentials with third parties.
- Not use another person's account without permission.
3.3 Eligibility
You must be at least 18 years old to create an account. By using the Service you confirm that you meet this requirement and can enter into binding contracts.
3.4 Business accounts
If you create an account for a business or organisation, you confirm you have authority to bind it to these Terms, and that organisation is responsible for all activity in the account.
4Intellectual Property Rights
4.1 Our ownership
All Automations, software, algorithms, code, designs, interfaces, documentation, and related materials made available through the Service are the property of Artifically and are protected by intellectual-property law.
4.2 Marks
The Artifically name, logo, and related names and designs are our marks. You may not use them without our prior written permission.
4.3 Your content
You keep ownership of the data and content you put into the Service ("Your Content"). You grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you. We do not claim ownership of Your Content, and we do not use it to train our own models.
4.4 Feedback
If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use and incorporate that feedback into our products, with no obligation to you.
5Licensing Terms for Automations
5.1 Licence grant
When you subscribe to an Automation, we grant you a limited, non-exclusive, non-transferable, revocable licence to use that Automation in accordance with these Terms for as long as your subscription is active.
5.2 Licence restrictions
Unless we agree otherwise in writing, you may not:
- Sublicense, sell, resell, or redistribute any Automation.
- Modify, reverse engineer, decompile, or disassemble any Automation.
- Create derivative works based on any Automation.
- Remove any proprietary notices from any Automation.
- Use any Automation to build a competing product or service.
- Share access to an Automation beyond the scope you have licensed.
5.3 How Automations are licensed
Automations are licensed by subscription only. There is no free tier and no perpetual licence.
Each Automation carries a base subscription price, billed monthly or yearly, which includes the lowest rate-limit tier. If you need more capacity, you can move to a higher rate-limit tier for an additional recurring fee. Current prices and tiers are shown on the pricing page and at checkout.
5.4 Updates and support
An active subscription includes updates, fixes, and support for the Automation you subscribe to.
6Usage Restrictions and Prohibited Activities
You agree not to do any of the following.
6.1 Illegal or harmful use
- Use the Service for any unlawful purpose or in breach of applicable law.
- Use Automations to harass, abuse, stalk, threaten, or harm anyone.
- Use the Service to generate or distribute spam, malware, or malicious content.
- Engage in fraud, money laundering, or other financial crime.
- Use the Service in connection with illegal gambling, weapons trafficking, or controlled substances.
6.2 Security violations
- Attempt to gain unauthorised access to any part of the Service or its systems.
- Probe, scan, or test the vulnerability of our systems or networks without authorisation.
- Interfere with or disrupt the Service or its infrastructure.
- Circumvent access controls, security measures, or usage limits.
- Introduce viruses, worms, or other malicious code.
6.3 Misuse of Automations
- Use an Automation beyond the scope or capacity you have licensed.
- Benchmark or stress-test Automations without our prior authorisation.
- Use Automations to collect data in breach of privacy law.
- Deploy Automations in safety-critical settings without appropriate safeguards.
- Use the Service to develop a competing product.
6.4 Content restrictions
- Upload content that infringes third-party intellectual-property rights.
- Submit false, misleading, or deceptive information.
- Post content that is defamatory, obscene, or otherwise unlawful.
- Impersonate any person or entity.
7Payment and Refunds
7.1 Pricing and payment
Prices are shown in US Dollars unless stated otherwise. You agree to pay all fees incurred on your account at the prices in effect when they are incurred. Payment is due at purchase, and at the start of each billing period for subscriptions.
7.2 Payment methods
We accept the payment methods shown at checkout, processed by our payment providers. You authorise us to charge your selected method for fees owed, and you are responsible for keeping your payment details current.
7.3 Subscription billing
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and you keep access until then.
7.4 Refunds
We offer refunds in the following circumstances:
- Within 14 days — a new subscription may be refunded in full within 14 days of purchase if you are not satisfied.
- Service failure — a refund may be given for documented failures or critical defects that prevent normal use.
- Billing errors — charges made in error are refunded in full once verified.
- Mid-term cancellation — annual subscriptions cancelled mid-term may receive a pro-rated refund at our discretion.
7.5 How to request a refund
Email legal@artifically.com. Requests are assessed individually.
7.6 Taxes and price changes
You are responsible for applicable taxes, including VAT or equivalent, based on your location. Stated prices exclude taxes unless indicated.
We may change prices. For active subscriptions, a price change takes effect at the start of the next billing period after we notify you.
8Data Privacy and Security
8.1 Privacy Policy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.
8.2 Data processing
When you run an Automation, your data is processed to perform the functions you configured, including transmission to the third-party providers listed in our Privacy Policy.
8.3 Security measures
We hold no security certification, and we make no certification claims. The controls we actually operate are:
- Connected-tool credentials encrypted at rest with AES-256-GCM, with key rotation support.
- Call transcripts redacted, then encrypted with a per-organisation key before storage.
- Data in transit protected with TLS.
- API keys stored only as hashes.
- Restricted access to production systems, with multi-factor authentication available on accounts.
- Logging of significant account and system activity.
8.4 Retention
We retain data for as long as your account is active or as needed to provide the Service. Our published retention periods — including 90 days for call transcripts and 13 months for call records — are set out in the Privacy Policy. After account deletion, data is retained for 90 days and then permanently removed, except where we must keep it by law.
8.5 International transfers
Your data may be transferred to and processed in countries other than your own. Where we transfer personal data out of a jurisdiction that restricts it, we rely on the transfer mechanisms offered by the provider concerned.
9API Usage Terms
9.1 API access
We may provide APIs so you can integrate Automations with your systems. API access is subject to these Terms and any API-specific terms in our documentation.
9.2 API keys
API access requires an API key. You are responsible for:
- Keeping your API keys confidential.
- Not sharing keys with unauthorised parties.
- Rotating keys periodically and whenever you suspect compromise.
- All activity carried out using your keys.
9.3 Rate limits
API usage is subject to the rate-limit tier on your subscription. Exceeding your tier may result in throttling or require moving to a higher tier.
9.4 API changes
We may modify or deprecate APIs with reasonable notice, and will aim to maintain backward compatibility and provide migration guidance for breaking changes.
9.5 Prohibited API uses
- Building a product or service that competes with Artifically.
- Accessing data beyond what your authorised use requires.
- Breaching third-party rights or applicable law.
- Circumventing security measures or usage limits.
10Service Availability
10.1 Availability
We aim to keep the Service available continuously, but we do not guarantee uninterrupted availability. Availability excludes scheduled maintenance and events outside our reasonable control.
10.2 Scheduled maintenance
We will give reasonable advance notice of scheduled maintenance likely to affect availability, and will aim to schedule it outside peak hours.
10.3 Incident response
If the Service is disrupted, we will:
- Investigate and work to resolve the issue promptly.
- Provide status updates.
- Review significant outages after the fact and take corrective measures.
10.4 Support
Support is provided by email at legal@artifically.com. We aim to respond promptly, but we do not currently offer contractual response-time commitments or service credits.
11Disclaimers and Limitation of Liability
11.1 Disclaimer of warranties
The Service and all Automations are provided "as is" and "as available", without warranties of any kind, express or implied. Artifically disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that an Automation will meet your specific requirements or produce particular results.
11.2 Limitation of liability
To the maximum extent permitted by law, Artifically is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:
- Your access to or use of, or inability to use, the Service.
- Any conduct or content of a third party on the Service.
- Unauthorised access to or alteration of your data.
- Any errors or inaccuracies in the Service or an Automation.
- Any interruption or cessation of the Service.
11.3 Cap on liability
In no event will Artifically's total liability for all claims arising from or related to these Terms or the Service exceed the greater of (a) the amounts you paid to Artifically in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
11.4 Basis of the bargain
These limitations are a fundamental basis of the agreement between you and Artifically; the Service would not be provided without them.
12Indemnification
You agree to indemnify and hold harmless Artifically and its personnel from any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising out of or related to:
- Your use of the Service or any Automation.
- Your breach of these Terms or of applicable law.
- Your Content or data processed through the Service.
- Your infringement of third-party rights.
- Any dispute between you and a third party relating to your use of the Service.
We may, at your expense, assume exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with that defence.
13Termination
13.1 Termination by you
You may close your account at any time through your account settings or by emailing legal@artifically.com. On termination your right to use the Service ends.
13.2 Termination by us
We may suspend or terminate your access, with or without notice, including for:
- Breach of these Terms or our policies.
- Conduct harmful to other users or to the Service.
- Non-payment of fees.
- A lawful request by a competent authority.
- Discontinuation of the Service or any part of it.
13.3 Effect of termination
- All licences granted to you end immediately.
- You must stop using the Service and all Automations.
- You remain responsible for outstanding fees.
- We may delete your data in line with our retention periods.
- Provisions that by their nature should survive termination will survive.
13.4 Data export
Before terminating, you may request an export of Your Content by emailing legal@artifically.com. Exports are handled manually, subject to technical feasibility and applicable law.
14Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be submitted to the competent courts of the United Arab Emirates.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15Dispute Resolution
15.1 Informal resolution first
Before starting formal proceedings, you agree to contact us at legal@artifically.com so we can try to resolve the matter informally. We will attempt to resolve disputes within 60 days of receiving your notice.
15.2 Formal proceedings
If a dispute is not resolved informally, it shall be determined by the competent courts of the United Arab Emirates in accordance with the governing law set out above.
15.3 Injunctive relief
Either party may apply to a competent court for injunctive or other equitable relief to protect its intellectual property or confidential information.
16Changes to These Terms
We may modify these Terms. We will publish the updated Terms on this page and update the date at the top.
For material changes we will also give notice by email or a prominent notice in the Service at least 30 days before they take effect. Continuing to use the Service after the effective date means you accept the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and close your account before the changes take effect.

18Miscellaneous
18.1 Entire agreement
These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, are the entire agreement between you and Artifically regarding the Service and supersede prior agreements on that subject.
18.2 Severability
If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in force.
18.3 Waiver
A failure to enforce any provision is not a waiver of it or of any other provision.
18.4 Assignment
You may not assign these Terms without our prior written consent. We may assign them, including in connection with a reorganisation or transfer of the business. Any assignment in breach of this clause is void.
18.5 Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government action, or telecommunications failures.
18.6 Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Artifically.
